Terms of Service

These Terms of Service ("Terms") are an agreement between you and Boxbid Inc. ("BoxBid", "we", "us"), the company that runs boxbid.io. They cover your use of www.boxbid.io and our related services (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

1. Your account

• You must be at least 13 years old to create an account. Some features, such as sponsorships and certain games, are only for people 18 or older. If you are under 18, you need a parent or guardian's permission to buy anything.
• Give us accurate information and keep it up to date. Brand accounts must be opened by someone allowed to act for the business.
• Keep your password and sign-in codes private. You are responsible for what happens in your account. Tell us right away at info@boxbid.io if you think someone else has used it.
• Pro boxer, podcast and promoter accounts are reviewed by our team before they go live. We may decline or remove an account that does not meet our Quality Standards.

2. How boxbid.io works

boxbid.io is a marketplace. Brands sponsor pro boxers, podcasts and fight nights; fighters and creators sell sponsorship spots, merchandise, memorabilia and shoutouts; fans follow fighters, play games and buy merchandise. BoxBid runs the marketplace, handles payments and works with fighters and their management to arrange deals. Each fighter or creator is responsible for delivering what their listing describes.

3. Bids, offers and sponsorships

• When you place a bid or make an offer, you agree to pay the amount you entered if your bid wins or your offer is accepted, on the terms shown when you placed it.
• Sponsorship details, such as where a logo appears and for which fight, are those shown in the listing and confirmed when the deal is agreed.
• Sponsorship payments are secured in escrow and released once the deal is delivered. If a sponsorship is not delivered as agreed, contact us and we will work with you and the fighter's team to fix it or refund you.
• Fight dates and line-ups can change. If a fight is cancelled or moved, we will contact you about your options.
• Brands are responsible for having the rights to the logos and materials they provide, and for their products and services being legal and suitable for a sports audience.

4. Payments and fees

• Prices, fees, taxes and shipping are shown before you pay. Payments are processed by our payment provider, Stripe.
• You authorize us and our payment provider to charge your chosen payment method for purchases, winning bids and accepted offers.
• We may change our fees in the future. Changes will not affect a purchase, bid or offer you have already made.

5. Merchandise and orders

• We describe products as accurately as we can. Colors and sizes may vary slightly from the photos.
• Delivery times are estimates. We will send you tracking information when your order ships.
• If an item arrives damaged or is not what you ordered, contact us and we will make it right.

6. Points and games

Our games are free to play. Points you earn are for use on boxbid.io only. They have no cash value and cannot be sold, transferred or exchanged for money. We may change how points and games work, or end them, at any time.

7. Your content

You keep ownership of what you post, such as comments, boxing posts, photos, videos and logos. You give BoxBid a non-exclusive, royalty-free, worldwide license to host, display and share that content on boxbid.io and in promoting the Service and the deals you take part in. You confirm you have the rights to everything you post.

8. Rules of conduct

Do not use the Service to:

• break the law, or promote illegal products or services;
• post hateful, harassing, threatening, sexually explicit or violent content (other than the sport of boxing itself);
• impersonate anyone, or misrepresent a fighter, business or record;
• send spam, run scams, or place bids or offers you do not intend to honor;
• copy, scrape or interfere with the Service, or try to get around its security.

We may remove content and suspend or close accounts that break these rules.

9. Text messages and email

We send account emails, such as receipts and order updates. We send text messages as described in our SMS Terms. Text updates are optional and you can stop them at any time by replying STOP.

10. Intellectual property

The boxbid.io name, logo and site design belong to Boxbid Inc. Fighters' names, images and records belong to the fighters or their owners, and brands' names and logos belong to those brands. You may not use any of them without permission.

11. Other services and links

The Service uses and links to services run by others, such as payment processing, shipping carriers and social media sites. Their own terms apply to them, and we are not responsible for them.

12. Disclaimers

We work hard to keep the Service running and accurate, but it is provided "as is" and "as available". To the extent the law allows, we do not promise that it will always be available, error-free or that any particular fight, result or sponsorship outcome will happen.

13. Limitation of liability

To the extent the law allows, BoxBid is not liable for indirect, incidental, special or consequential damages, or lost profits, arising from your use of the Service. Our total liability for any claim is limited to the amount you paid BoxBid in the 12 months before the claim, or $100, whichever is greater.

14. Indemnity

You agree to cover BoxBid's reasonable losses and costs from claims brought by others that arise from content you post, materials you provide, or your breaking these Terms.

15. Ending your use

You can close your account at any time by emailing info@boxbid.io. We may suspend or close an account that breaks these Terms. Deals and payments already in progress will be completed or refunded as these Terms describe.

16. Governing law

These Terms are governed by the laws of the State of Nevada. Any dispute will be handled in the state or federal courts located in Clark County, Nevada, unless the law where you live requires otherwise.

17. Changes to these Terms

We may update these Terms. We will post the new version here with a new effective date, and tell you by email or on the site if the changes are significant. Using the Service after the changes take effect means you accept them.
